1. Introduction and Acceptance of Terms

Welcome to MatrixRunway ("MatrixRunway," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and MatrixRunway governing your access to and use of the MatrixRunway website, tools, and related features (collectively, the "Services").

MatrixRunway provides free, browser-based utilities designed to process files locally on your device whenever technically feasible. The Services are offered on an "AS IS" and "AS AVAILABLE" basis.

While we strive to keep our tools operational at all times, we do not guarantee uninterrupted, continuous, error-free, or entirely secure operation. MatrixRunway reserves the right to modify, enhance, limit, suspend, or discontinue any feature, tool, or aspect of the Services, temporarily or permanently, at any time and without prior notice or liability.

4. Eligibility and Age Requirements

You must meet the minimum legal age required in your jurisdiction to enter into a legally binding contract to use the Services. If you are a minor under the laws of your jurisdiction, you may only use the Services with the active involvement, consent, and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

5. License to Use the Services

Subject to your continued compliance with these Terms, MatrixRunway grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for personal, educational, or internal commercial purposes.

This license explicitly prohibits you from:

• Reselling, sublicensing, or commercially redistributing the Services as a standalone product or service without prior written authorization;
• Copying, duplicating, reproducing, or reverse-engineering any underlying software or source code, except where prohibited by applicable law;
• Using automated crawlers, scrapers, data-mining robots, or automated scripts to systematically harvest data or exploit tool APIs;
• Framing, inline linking, or mirroring any portion of the Services on external domains without our written consent.

6. Local File Processing and Backup Responsibility

Because processing occurs directly on your own device, you remain solely responsible for:

• The safety, integrity, legality, and privacy of your original files;
• Maintaining independent, secure offline backups of any critical documents before and after using our tools;
• The hardware, software, and browser environment you use to process files.

Zero File Recovery Ability: Because MatrixRunway does not retain or store your files on its servers, MatrixRunway has no technical ability to restore, retrieve, or recover files that are corrupted, lost, overwritten, or damaged during or following your use of the Services.

7. Acceptable Use Policy

You agree to use the Services solely for lawful purposes. You must not, and must not permit any third party to:

• Violate any applicable local, state, national, or international statute, ordinance, or regulation;
• Transmit, process, or inject computer viruses, trojan horses, worms, logic bombs, ransomware, or other technologically malicious materials;
• Attempt to gain unauthorized access to, probe, scan, test the vulnerability of, or disrupt the servers, network infrastructure, or security systems supporting the Services;
• Execute denial-of-service (DoS) attacks or generate an abnormal volume of requests that impairs usability for other users;
• Process, create, or distribute content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, or invasive of another person's privacy;
• Infringe, misappropriate, or violate the copyright, trademark, patent, trade secret, or other proprietary rights of any third party;
• Impersonate MatrixRunway, our team, or another individual or entity.

8. User Content and Responsibility

You retain full ownership, title, and intellectual property rights in and to your User Content. MatrixRunway does not claim any ownership rights over your files, documents, or texts processed through our tools.

You represent and warrant that: (a) you hold all necessary licenses, permissions, and rights to process your User Content; and (b) processing your User Content through the Services does not violate any third party's contractual rights, copyrights, privacy rights, or applicable laws.

9. Intellectual Property Rights

All website assets, designs, interface layouts, logos, branding, trademarks, icons, stylesheets, scripts, software, graphics, and text (excluding your User Content) are the exclusive property of MatrixRunway and its licensors, protected under international copyright, trademark, and unfair competition laws.

Nothing in these Terms grants you any right, title, or interest in MatrixRunway trademarks, service marks, or trade dress without our express prior written permission.

10. User Feedback

If you submit ideas, suggestions, improvements, or feature requests ("Feedback") to MatrixRunway, you grant us an irrevocable, perpetual, worldwide, royalty-free, transferable, and sublicensable license to utilize, modify, and incorporate such Feedback into our tools and services without any attribution, accounting, or financial compensation to you.

11. Third-Party Services, Analytics, and Advertising

To keep MatrixRunway 100% free for all users, we may integrate third-party services, including web analytics (such as Google Analytics) and display advertising networks (such as Google AdSense). These third-party providers may collect anonymized, non-personally identifiable technical telemetry (e.g., browser type, screen resolution, referral URLs, IP addresses, and cookie identifiers) in accordance with their respective policies.

Our website may also contain links to external third-party websites or services. MatrixRunway does not control, endorse, or assume responsibility for the content, privacy practices, terms, or security of any third-party websites. You access external links entirely at your own risk.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, MATRIXRUNWAY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, MATRIXRUNWAY DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE OPERATION OF THE TOOLS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) FILES, COMPRESSIONS, CONVERSIONS, CALCULATIONS, OR FORMAT TRANSFORMATIONS WILL BE ACCURATE, UNCORRUPTED, OR PRESERVE EXACT FORMATTING; OR (D) DEFECTS WILL BE DETECTED OR CORRECTED. USE OF THE SERVICES IS AT YOUR OWN DISCRETION AND RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATRIXRUNWAY, ITS AFFILIATES, OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, CORRUPTION OF FILES, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR DEVICE MALFUNCTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, EVEN IF MATRIXRUNWAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MATRIXRUNWAY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS, LIABILITIES, OR DAMAGES ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO MATRIXRUNWAY (IF ANY) FOR ACCESSING THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE THOUSAND INDIAN RUPEES (INR ₹1,000) OR FIFTY UNITED STATES DOLLARS (USD $50).

15. Indemnification

You agree to defend, indemnify, and hold harmless MatrixRunway, its operators, contributors, affiliates, licensors, and service providers from and against any and all claims, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation or breach of these Terms or applicable laws;
• Your User Content, including any claims that your files infringed or violated third-party intellectual property or privacy rights;
• Your misuse of the Services or unauthorized actions conducted using the website.

16. Force Majeure

MatrixRunway shall not be held liable or responsible for any failure, impediment, or delay in the performance of its obligations under these Terms resulting from circumstances beyond its reasonable control, including but not limited to acts of God, extreme weather, natural disasters, war, acts of terrorism, civil disturbances, strikes, electrical grid failures, global or local internet outages, telecommunication breakdowns, or government actions.

17. Governing Law and Dispute Resolution

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law that would require the application of the laws of another jurisdiction.

Any dispute, controversy, claim, or legal proceeding arising out of, relating to, or concerning these Terms or the Services shall be submitted to the exclusive personal jurisdiction of the competent civil courts located in India, and you hereby consent and submit to the jurisdiction and venue of such courts.

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full legal force and effect.

These Terms, together with our Privacy Policy, constitute the complete, sole, and exclusive agreement between you and MatrixRunway regarding the subject matter herein, superseding all prior oral or written agreements, understandings, or representations.

MatrixRunway reserves the right to revise, update, or amend these Terms at any time at our sole discretion. Any modifications will become effective immediately upon being published on this page.
